The private equity sponsor of Stronghouse Solutions is handing control of the roofing platform to its creditors, Homepros has learned.

What’s happening: Stronghouse, its sponsor O2 Investment Partners, and its creditors in September agreed to a “comprehensive” recapitalization meant to reduce leverage and boost liquidity, according to documents viewed by Homepros.

  • As part of the deal, O2 will “transfer ownership and governance rights” to the creditors, who are also infusing additional capital into the business, the documents state.
  • Stronghouse is also searching for a new CEO.

It’s unclear what prompted the recapitalization, and its specific financial terms and timing also remain unclear. Representatives for Stronghouse and O2 didn’t return Homepros’ requests for comment.

Of note: Credit-focused investment firm Sound Point Capital provided financing to Stronghouse in December 2022, but Homepros couldn’t immediately confirm all of the company’s creditors. Sound Point didn’t immediately return a request for comment.

State of play: Formed in 2021 and based in Oak Brook, Illinois, Stronghouse generated nearly $330 million in revenue and over $60 million in EBITDA in 2025, per the documents.

  • The company operates a network of primarily residential roofing brands across more than 30 states, according to its website.

Between the lines: Storm response work accounted for 70 percent of Stronghouse’s revenue in 2025, with retail representing the remaining 30 percent, according to the documents.

The big picture: Stronghouse Solutions was one of the first residential roofing platforms to form when an early-2020s wave of consolidation hit the industry.

  • Now, several years in, the highs and lows of private equity-backed platforms are “starting to surface,” said a person familiar with the platform.
